Welcome to Openfale. By accessing or using our customer relationship management platform and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

1. Account Registration

To access certain features of the Service, you must register for an account. You agree to:

The Service, including its original content, features, functionality, and design elements, is and shall remain the exclusive property of Openfale and its licensors. These Terms do not grant you any right, title, or interest in the Service except the limited right to use it in accordance with these Terms. The Service may integrate with third-party platforms and services (e.g., Google OAuth, Stripe, email providers). Your use of such services is governed by their respective terms and policies. We are not responsible for the availability, accuracy, or practices of third-party services.

6. Payment and Billing

Certain features of the Service may require payment. If you subscribe to a paid plan, you agree to pay all applicable fees. Fees are non-refundable except as required by law or as explicitly stated in a separate agreement. We reserve the right to change our pricing upon reasonable notice.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OPENFALE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless Openfale and its affiliates from and against any claims, damages, costs, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your Customer Data, or your violation of these Terms.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination shall survive, including ownership provisions, disclaimers, indemnification, and limitations of liability. You may request deletion of your Customer Data upon termination, subject to our data retention practices described in our Privacy Policy.

11. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Service.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Openfale operates, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the courts of that jurisdiction.
